1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of Lag ("Service"), a voice communication service and related websites and applications operated by Gitglue LTD, a company registered in England and Wales ("we", "us", "our").
By creating an account, accessing, or using Lag, you confirm that you have read and agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility and Account
You must be at least 13 years of age (or the minimum age in your jurisdiction to consent to use online services) to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into a binding agreement. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorised access or use.
3. Description of the Service
Lag provides real-time voice communication over the internet, including server and room-based voice channels, invite and membership features, and related functionality. We may add, change, or discontinue features or the Service at any time. We do not guarantee uninterrupted or error-free operation.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe the intellectual property, privacy, or other rights of any person or entity
- Harass, abuse, threaten, or harm others, or promote violence or discrimination
- Transmit malware, spam, or any content designed to disrupt or compromise the Service or others' devices
- Attempt to gain unauthorised access to the Service, other accounts, or our or any third party's systems or data
- Resell, redistribute, or commercially exploit the Service without our written permission
- Use the Service in any way that could damage, overburden, or impair our infrastructure or the experience of other users
We may suspend or terminate your access if we reasonably believe you have breached these Terms or engaged in conduct that is harmful to the Service or others.
5. Your Content and Conduct
You are solely responsible for your conduct and any content (including voice and text) you transmit via the Service. We do not claim ownership of your content, but you grant us a limited licence to use, store, and transmit it as necessary to operate and provide the Service. You represent that you have all rights needed to grant this licence and that your content and conduct comply with these Terms and the law.
6. Intellectual Property
The Service, including its design, software, text, graphics, logos, and other materials (excluding your content), is owned by Gitglue LTD or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service or our branding without our prior written consent.
7. Privacy
Our collection and use of personal data is described in our Privacy Policy. By using the Service, you consent to that processing. We process data in accordance with applicable data protection law, including the UK General Data Protection Regulation (UK GDPR).
8. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or free of errors. You use the Service at your own risk.
9. Limitation of Liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law. Subject to that, we (and our directors, employees, and affiliates) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business opportunity, arising from or in connection with the Service or these Terms, whether in contract, tort (including negligence), or otherwise. Our total liability to you for any claims arising from or related to the Service or these Terms shall not exceed the greater of (a) the amount you paid us in the twelve months before the claim, or (b) fifty pounds sterling (GBP 50).
10. Indemnity
You agree to indemnify and hold harmless Gitglue LTD and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your conduct, or your breach of these Terms.
11. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access or account at any time, with or without cause or notice, including for breach of these Terms. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnity, and governing law) will survive termination.
12. Changes to the Service and Terms
We may modify the Service or these Terms at any time. We will give notice of material changes to the Terms by posting the updated Terms on our website and updating the "Last updated" date, and we may notify you by email or in-app message where appropriate. Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
13. General
These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision does not waive that right or provision. You may not assign or transfer your rights under these Terms without our consent; we may assign our rights and obligations without restriction.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. You and we agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes, except that we may bring proceedings in any court of competent jurisdiction to seek injunctive or other equitable relief.
